Disputely LLC reserves the right to update these terms at any time without prior notification. All modifications become effective immediately upon publication. We may also restrict or terminate your access to our services at our sole discretion. Please be aware that your usage and interactions on our platform may be monitored. If you are acting on behalf of an organization, these Terms apply to both you personally and the entity you represent.

Service Description

Disputely LLC provides comprehensive dispute management services designed to help businesses effectively challenge chargebacks with major payment processors and financial institutions. Our platform assists clients in developing strategies to minimize business practices that contribute to dispute occurrences ("Services"). We also offer specialized consulting for payment dispute prevention and resolution.

Content Rights and Usage Restrictions

All materials on our platform, including but not limited to text, graphics, images, videos, software, and other content ("Platform Content"), are protected under applicable intellectual property laws. You receive limited access rights to view and use the Platform Content solely as permitted under this Agreement. Any unauthorized reproduction, distribution, modification, or other use of Platform Content is strictly prohibited without our express written consent.

Account Creation and Management

Access to our Services requires establishing and maintaining a user account. You commit to providing truthful, complete, and current information during registration and to promptly update your details when changes occur. We reserve the right to suspend or terminate accounts containing false or misleading information. You bear full responsibility for all activities conducted through your account and must safeguard your login credentials. Report any suspected unauthorized account access immediately.

Supplementary Terms

Certain platform features or Services may be governed by additional terms and conditions, which are incorporated into this Agreement by reference and form part of your overall agreement with us.

Duration and Account Termination

Your authorization to use our Services terminates automatically upon violation of this Agreement. Disputely LLC may suspend, restrict, or terminate your access to the Services at any time with or without notice. Upon termination, certain provisions including payment obligations, confidentiality requirements, and privacy commitments remain in effect.

Platform Access and Service Changes

You are responsible for any third-party charges incurred while accessing our platform or Services. We reserve the right to modify, suspend, or discontinue any aspect of our platform or Services without advance notice. Our liability for such changes is limited to providing prorated refunds for prepaid service fees when we permanently discontinue Services.

Intellectual Property Ownership

Disputely LLC and our licensors retain all rights, title, and interest in our platform, Services, and Platform Content. This Agreement grants you only the specific usage rights explicitly stated herein; no additional rights are conveyed.

Data Handling and Privacy

Our Privacy Policy governs data collection and usage practices and forms an integral part of this Agreement. You agree not to submit information that infringes upon others' legal rights or violates applicable laws. We process your information in accordance with our Privacy Policy to deliver and improve our Services.

External Links and Third-Party Content

Our platform may include links to external websites or third-party content over which we exercise no control. We disclaim responsibility for the accuracy, completeness, or reliability of any external content or linked resources.

Indemnification

You agree to defend, indemnify, and hold harmless Disputely LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our platform, Services, or Platform Content, or your violation of this Agreement. We reserve the right to assume control of any such defense at your expense.

Disclaimer of Warranties

You use our platform, Services, and Platform Content entirely at your own risk. All are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied. We disclaim all warranties including, but not limited to, merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions may not permit certain warranty exclusions, so these disclaimers may not apply in all cases.

Liability Limitations

Disputely LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our platform or Services. Our total liability for all claims related to the platform, Services, or Platform Content shall not exceed the amount you paid for Services during the six months immediately preceding the claim.

Government Entity Usage

For U.S. Government users, our platform, Services, and Platform Content are provided as "commercial items" with only the rights and restrictions specified in this Agreement.

Marketing Authorization

By creating an account, you grant us permission to identify you as a client and use your company name and logo in our marketing materials, case studies, and promotional content. You also agree to reasonably participate in customer testimonials or success stories upon request.

Legal Compliance and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes, claims, or controversies arising from or relating to this Agreement that cannot be resolved through mutual discussion shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.

Either party may initiate arbitration by filing a written demand with AAA and serving a copy on the other party. Arbitration proceedings shall be conducted in Sheridan, Wyoming. Both parties shall cooperate in good faith in arbitrator selection and scheduling. Disputely LLC shall bear arbitration costs necessary to make this provision enforceable, with all other arbitration expenses shared equally between the parties.

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
